1.1 Who we are
Expo Digital SCM UK Limited (Expo Bazaar) and its suppliers, partners and/or affiliates provide their services to you subject to the following general terms and conditions and our Privacy Policy. If you visit and/or shop at ExpoBazaar.com, or any other website managed by ExpoBazaar (collectively, this "Site"), you accept these terms and conditions. Please read them carefully.

1.2 Trade-only sales
Our website is a business-to-business wholesale platform. We sell exclusively to businesses purchasing goods in the course of their trade, business, craft or profession, typically for resale.
By placing an order you confirm that:

You have authority to bind the business named on your account;

You are purchasing for resale or business use, not personal use.
1.3 Account registration
You must register an account and be approved by us before you can view wholesale prices or place an order. We may ask for evidence of your business status, including company registration number, VAT number, or trading history.
We may refuse/ or withdraw an account at our discretion. You are responsible for keeping your login credentials secure and for all activity on your account.
1.4 Prices

Prices are shown in pounds sterling (GBP).

Prices are exclusive of VAT unless stated otherwise. VAT will be added at checkout at the prevailing rate.

Prices exclude delivery charges, which are calculated at checkout.

Wholesale prices are visible only to registered, approved account holders.

We may change prices at any time, but changes will not affect orders we have already accepted.

Minimum order values may apply and will be shown at checkout.
1.5 How a contract is formed

You place an order through the website. This is an offer to buy, not a binding contract.

We will send an acknowledgement email confirming we have received your order. This is not acceptance.

A binding contract is formed only when we send you a dispatch confirmation or expressly accept your order.

If we cannot accept your order (for example, the product is out of stock, there is a pricing error, or we cannot verify your business), we will tell you and will not charge you.
1.6 Products
Our products are handcrafted. Natural variation in colour, finish, grain, weave and dimension is a characteristic of handmade goods, not a defect. Product images are illustrative; slight variation between the image and the item you receive is to be expected and does not make the goods faulty.
Product descriptions, dimensions and specifications are given in good faith and are as accurate as we can make them, but minor tolerances apply.
1.7 Delivery

Delivery timescales given at checkout are estimates, not guarantees.

Risk in the goods passes to you on delivery.

Title in the goods does not pass to you until we have received payment in full.

You must inspect goods on delivery and note any visible damage on the carrier's paperwork.

If delivery is delayed by an event outside our control, we will contact you; we are not liable for delays caused by such events.
1.8 Payment
Payment is taken at checkout via our payment providers, or on agreed credit terms where we have expressly granted them in writing.
If a payment is late, we may charge interest and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, and may suspend further deliveries.
1.9 Your obligations as a reseller
You may resell our products. You may not:

Misrepresent the origin, materials or craft of the products;

Remove or alter our labelling or artisan provenance information;

Present the goods as your own manufacture;

Use our trade marks, imagery or brand assets without our written permission.
1.10 Liability

Expobazaar Makes No Representations Or Warranties Of Any Kind, Express Or Implied, As To The Operation Of This Site Or The Information, Content, Materials, Or Products Included On This Site. You Expressly Agree That Your Use Of This Site Is At Your Sole Risk.
To The Fullest Extent Permissible By Applicable Law, Expobazaar Disclaims All Warranties, Express Or Implied, Including, But Not Limited To, Implied Warranties Of Merchantability And Fitness For A Particular Purpose. Expobazaar Does Not Warrant That This Site, Its Servers, Or E-Mail Sent From Expobazaar Are Free Of Viruses Or Other Harmful Components. All content on this website : text, images, product photography, logos, and the Expo Digital and ExpoBazaar marks belong to us or our licensors. You may not copy, reproduce or use it except as strictly necessary to market products you have bought from us for resale.
1.12 Termination
We may suspend or close your account immediately if you breach these terms, fail to pay, or if we reasonably suspect fraud.
1.13 General

Entire agreement: these terms form the whole agreement between us and supersede any prior discussions.

No third party rights: a person who is not a party to the contract has no rights under the Contracts (Rights of Third Parties) Act 1999.

Assignment: you may not assign your rights without our written consent.

Severance: if any clause is found unlawful, the rest continue in force.

Changes: we may amend these terms; the version in force when you place an order is the version that applies.
1.14 Governing law and jurisdiction
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
